Service Agreement
Last updated: 4 November 2026
1. Parties
Service Provider: Erhan Keleş – ZANTADE (a sole proprietorship trading under the Endcod brand). Address, tax office and tax number, phone and e-mail details are listed in the Seller Information section at the bottom of this page.
Customer: The individual or legal entity whose details appear in the service request or order form.
In this agreement the parties are referred to as the "Service Provider" and the "Customer".
The Customer, as a company or sole proprietorship, declares that it purchases these services within the scope of its commercial or professional activity. The person who accepts or signs this agreement on behalf of the Customer declares that they are authorised to represent and bind the Customer.
2. Subject of the agreement and services
This agreement sets out the terms under which the Service Provider provides the following digital services to the Customer. The services purchased by the Customer are specified in the order form or quotation.
| Service | Scope | Fee (TRY, excl. VAT) | Period |
|---|---|---|---|
| Quick Site setup | Ready-made theme, standard admin panel, up to 5 pages (Home, Services, About, Gallery, Contact), phone and WhatsApp buttons, basic SEO settings, 1 revision | 5,000 | One-off |
| Corporate Site setup | Custom design, unlimited pages, standard admin panel, content support | 20,000 | One-off |
| Annual website maintenance | Domain and hosting renewal, SSL, backups, security updates, 5 content changes per year (text / photos) | Quick Site: 5,000 · Corporate Site: 10,000 | Yearly |
| Google Ads setup | Account and campaign setup, 5-10 exact-match keywords, phone and WhatsApp conversion tracking | 5,000 | One-off |
| Google Ads management | Campaign management, Endcod Guard click-fraud protection, competitor check every 2 days, monthly report | From 5,000 | Monthly |
Current fees are also published on the Pricing page of the website; the fee valid on the order date applies.
The Google Ads management fee is set according to competition and the number of campaigns, and cannot be less than TRY 5,000 + VAT per month.
Revisions and changes. The 1 revision included in the Quick Site covers correction requests submitted in a single, consolidated batch within 7 days after the site is delivered. The 5 content changes in annual maintenance apply to each maintenance year; unused changes do not carry over to the following year.
The target delivery time for a Quick Site is 1 business day after the Customer has fully completed the application form and sent the logo, photos and other materials. Google Ads setup is completed within 2-7 business days after access to the ad account is granted. Reasonable delays in delivery do not constitute a breach of this agreement and do not give rise to penalties or discounts.
Work not listed in the table (extra pages, a second revision, design outside the theme, additional languages, logo design, photography, technical support such as e-mail or phone security, etc.) is out of scope and priced separately. For the Quick Site, out-of-scope requests can be met by upgrading to the Corporate Site package.
3. Fees and payment
- Fees are stated in the table in section 2, excluding VAT.
- Quick Site and Google Ads setup fees are paid in advance, before work starts. 50% of the Corporate Site setup fee is paid when work starts and the remainder before the site goes live. Monthly service fees are paid by the 5th of each month at the latest; the annual maintenance fee is paid in advance on the renewal date.
- Payments are made by credit or debit card via the PayTR payment page or payment link, or by bank transfer to the account notified by the Service Provider.
- The Customer agrees to receive automatic payment reminders by e-mail and SMS.
- Non-payment of the annual maintenance fee. The Service Provider sends the Customer a payment reminder at least 3 days before the renewal date. If the maintenance fee is not paid on the renewal date, the site is taken offline the same day and the domain and hosting are not renewed. A backup of the site's files and database is kept for 14 days from the date the site is taken offline. If, within this period, the maintenance fee is paid together with a reactivation fee of TRY 6,000 + VAT, the site is put back online with the same content. At the end of the 14 days the backup is deleted; after that date the site can only be rebuilt for a new setup fee. The Customer is reminded that an expired domain may be registered by third parties and that any resulting consequences are the Customer's responsibility.
- Non-payment of monthly service fees. For a monthly fee not paid on its due date, the Service Provider sends a written reminder. If payment is not made within 15 days of the due date, the Service Provider may suspend ad management until payment is made, with 3 days' prior written notice.
- Amounts not paid when due bear default interest at the advance interest rate under Turkish Law No. 3095 on Legal Interest and Default Interest, from the due date.
- The Service Provider may update its fees at most once a year, with at least 30 days' prior written notice. If the Customer does not accept the updated fee, it may terminate the agreement at the end of the current period.
- The advertising budget paid to Google is not included in the service fee; it is charged directly to the Customer's payment method.
4. Obligations of the parties
Service Provider
- Performs the services with professional care and in line with current platform rules.
- Provides the Customer with a summary report once a month for monthly services.
- Responds to service requests on business days between 09:00 and 18:00, within 1 business day at the latest.
Customer
- Provides the information, text, images and account access required for the work on time. The Service Provider is not liable for disruptions caused by delays.
- Is responsible for the lawfulness and copyright of the content and images it supplies.
- Is responsible for the consequences of changes it makes to its accounts without informing the Service Provider.
No guarantee of results. Google rankings and the number of clicks, calls or sales are not guaranteed. Policy changes, account suspensions, outages and similar events on advertising platforms are beyond the Service Provider's control.
Account ownership. Google Ads, Google Analytics and Search Console accounts are opened in the Customer's name and belong to the Customer; the Service Provider accesses them as an administrator. The Customer is the registrant of the domain; the domain and hosting may be managed through the Service Provider's account.
Limitation of liability. The Service Provider's total liability under this agreement is limited to the total service fees received from the Customer in the 12 months preceding the date the damage occurred. The Service Provider is not liable for loss of profit, loss of business, loss of customers or other indirect damages. This limitation does not apply in cases of the Service Provider's intent or gross negligence.
Force majeure. Neither party is liable for failure to perform its obligations due to events beyond its control, such as natural disasters, epidemics, war, fire, general internet or power outages, outages caused by the hosting provider or advertising platform, account closures and policy changes, or decisions of public authorities. If force majeure lasts longer than 30 days, either party may terminate the agreement by notice.
5. Term and termination
- The annual website maintenance service starts on the date the site goes live and lasts 12 months. Unless either party gives written notice at least 30 days before the end of the period, it renews for successive one-year periods on the same terms.
- Google Ads management runs on a monthly basis with no commitment; the Customer may end it by giving written notice (including by e-mail or WhatsApp) before the next payment date. The Service Provider may likewise end it by giving notice before the next payment date.
- If the Customer delays payment by 30 days from the due date, or if either party seriously breaches the agreement, the other party may terminate the agreement immediately by notice.
- Fees for a period that has already started are non-refundable; amounts accrued up to the termination date remain payable.
- On termination, provided all payments have been made, the Service Provider delivers a backup of the site's files and database within 15 days, provides the domain transfer code and hands over administrator access to the accounts to the Customer.
6. General provisions
Personal data. With respect to personal data obtained through the Customer's website and ads, the Customer is the data controller and the Service Provider is the data processor. The Service Provider processes such data in accordance with Turkish Personal Data Protection Law No. 6698 (KVKK), solely for providing the service and for the security and measurement of the site and ad traffic. In this context, contact details received through site forms and visitors' technical data (IP address, browser and device information, visit logs) may be processed. The Service Provider takes appropriate technical and organisational measures to secure the data and notifies the Customer without delay upon becoming aware of a data breach. The Service Provider may use hosting, advertising, analytics and SMS service providers, whose servers may be located abroad. The Service Provider prepares the privacy and cookie notice to be published on the Customer's website.
Confidentiality. During and after the term of this agreement, the parties keep each other's business information confidential. Technical information about the software, methods and protection systems used by the Service Provider is the Service Provider's trade secret.
Intellectual property. Ready-made themes, the admin panel and the software infrastructure belong to the Service Provider and may be used for more than one customer. The Customer is granted a non-exclusive, perpetual and non-transferable licence to use them on its own website; the Customer may not copy, sell or use them on other websites. For the Corporate Site, the rights of reproduction, distribution, adaptation and communication to the public in custom designs and content prepared solely for the Customer are transferred to the Customer permanently once all fees have been paid. Logos, text and images supplied by the Customer belong to the Customer. The Service Provider may show its work as a reference.
Notices and communication. The postal and e-mail addresses stated by the parties in the agreement or order form are their addresses for notices; notices sent to these addresses are valid unless a change has been notified in writing. E-mail and WhatsApp correspondence between the parties counts as written notice and is accepted as evidence in disputes.
Disputes. The courts and enforcement offices of Kütahya, Turkey, have jurisdiction over disputes arising from this agreement.
Language. This English text is a translation provided for convenience. In case of any conflict, the Turkish version prevails.
Entry into force. This agreement enters into force when the Customer submits the order or application form after ticking the box confirming acceptance of the agreement, makes payment, or signs the agreement. The date of acceptance and the version of the agreement accepted are recorded by the Service Provider.
